Affiliate Marketing Program Terms and Conditions for 

JJ Winks, LLC (the “Company”)

Effective Date: February 2026

By enrolling in or participating in the Affiliate Program, Affiliate agrees to be bound by these Terms and Conditions.

Introduction

Welcome to the JJ Winks Affiliate Marketing Program, powered by Social Snowball. This program is designed to reward our valued affiliates for referring new customers to our products and services. By participating in this program, you agree to comply with these Terms and Conditions. Please read them carefully.

Eligibility

1. To be eligible for participation in the JJ Winks Affiliate Program, applicants must be 18 years or older and have an active and valid method of payment reception.

2. JJ Winks reserves the right to approve or reject any application to the program at its sole discretion.

Program Participation

1. Affiliates will receive a unique referral code and/or link to share with potential new customers.

2. Commissions are earned on qualifying sales that are directly attributable to the affiliate's referral code or link.

3. Affiliates are responsible for ensuring their referral methods comply with all applicable laws and regulations.

Commission and Payments

1. Commission rates are subject to change at JJ Winks's discretion. Affiliates will be notified of any changes.

2. Payments of commissions are contingent upon the collection of funds from the referred customer. Returned or canceled sales will result in the deduction of the corresponding commission from the affiliate's balance.

3. All commissions are subject to review and verification by JJ Winks. This process is to ensure the integrity of the Affiliate Marketing Program and may include the delay or withholding of payment while an investigation is conducted.

4. Commissions deemed to be earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods will be voided. JJ Winks reserves the right to reverse commissions for suspected fraud, self-referrals, bulk orders placed for resale, unauthorized discount stacking, or orders deemed non-genuine.

5. JJ Winks reserves the right to withhold or delay payment of commissions pending an investigation of breach of these terms.

6. Commissions will only be deemed earned after the expiration of JJ Winks’s applicable return and refund period as stated in the Store Terms of Purchase.

7. Attribution of sales shall be determined solely by JJ Winks’ tracking systems. JJ Winks’ determination of qualifying sales and commission eligibility shall be final and binding.

Intellectual Property

1. Affiliates may not alter any brand assets provided by JJ Winks without prior written consent.

2. All promotional materials, including but not limited to images, logos, and slogans, must be used in a manner that is respectful and consistent with JJ Winks's brand guidelines.

Content Usage License

By participating in the Affiliate Program, Affiliate grants JJ Winks a non-exclusive, royalty-free, worldwide license to repost, share, display, and distribute content created by Affiliate that features JJ Winks products for organic marketing and promotional purposes across JJ Winks-owned channels, including but not limited to social media accounts, email marketing, and the JJ Winks website.

JJ Winks will not use Affiliate-created content in paid advertising, sponsored advertisements, or paid media placements without obtaining prior written consent from the Affiliate.

Affiliate represents and warrants that it owns or has the necessary rights to grant the license described herein.

This license shall remain in effect during the Affiliate’s participation in the Program.

Independent Contractor Status

Affiliates are independent contractors and are not employees, agents, partners, or representatives of JJ Winks. Affiliates have no authority to bind JJ Winks to any agreement or obligation.

Disclosure & Advertising Compliance

Affiliate agrees to comply with all applicable laws, regulations, and industry guidelines, including but not limited to the Federal Trade Commission (FTC) Endorsement Guides and all advertising disclosure requirements. 

Affiliate must:

• Clearly and conspicuously disclose the material connection between Affiliate and JJ Winks in all promotional content, including social media posts, videos, blogs, emails, and advertisements.

• Ensure that disclosures are easily visible, unambiguous, and placed in a manner that consumers will notice (e.g., “#ad,” “#affiliate,” or a clear statement such as “I earn a commission from qualifying purchases”).

• Make only truthful, accurate, and substantiated statements regarding JJ Winks products. Refrain from making any medical, therapeutic, performance, or other claims unless expressly approved in writing by JJ Winks.

Failure to comply with this section may result in immediate termination from the Affiliate Program and forfeiture of unpaid commissions. Affiliate acknowledges that it is solely responsible for its promotional content and compliance with applicable laws.

Prohibited Marketing Practices, Coupon Restrictions & Brand Protection

To preserve the integrity, reputation, and premium positioning of the JJ Winks brand, Affiliate agrees that it shall not engage in any of the following activities:

1. Trademark & Paid Advertising Restrictions

Affiliate shall not:

• Bid on, purchase, or otherwise use the terms “JJ Winks,” “JJwinks,” or any confusingly similar variation, misspelling, or derivative thereof in any paid search engine advertising, keyword bidding, sponsored listings, or pay-per-click campaigns.

• Use JJ Winks trademarks or confusingly similar variations in domain names, subdomains, social media handles, or online identifiers.

• Direct link from paid advertisements to the JJ Winks website using an Affiliate tracking link without prior written consent.

2. Coupon, Deal Site & Discount Restrictions

Affiliate shall not:

• Post, distribute, list, or otherwise make available Affiliate discount codes or referral links on coupon aggregation websites, deal forums, browser extensions, cashback platforms, or promotional databases, including but not limited to Honey, RetailMeNot, CouponBirds, Rakuten, or similar services.

• Allow third parties to publish or distribute Affiliate discount codes on such platforms.

• Promote expired, unauthorized, misleading, or inaccurate discounts or promotional offers.

• Engage in unauthorized discount stacking or incentivize purchases in a manner not expressly approved by JJ Winks.

Affiliate shall promptly notify JJ Winks of any unauthorized or improper use of Affiliate discount codes of which Affiliate becomes aware.

3. Unauthorized Representations & Claims

Affiliate shall not:

• Represent itself as an employee, agent, partner, or official representative of JJ Winks.

• Make guarantees, warranties, or representations concerning JJ Winks products that are inconsistent with or exceed those expressly made by JJ Winks.

• Make any false, misleading, deceptive, or unsubstantiated claims regarding JJ Winks products, pricing, availability, performance, or benefits.

• Make medical, therapeutic, or health-related claims unless expressly approved in writing by JJ Winks.

4. Prohibited Traffic Sources & Manipulation

Affiliate shall not:

• Engage in spam marketing, including unsolicited email, SMS, direct messaging, or automated communications.

• Use cookie stuffing, forced clicks, bots, scripts, or other deceptive attribution methods.

• Artificially inflate clicks, impressions, or sales.

• Use pop-ups, pop-unders, toolbars, or similar techniques to intercept or redirect traffic.

5. Brand Integrity & Content Standards

Affiliate shall not:

• Publish content that is defamatory, obscene, discriminatory, infringing, unlawful, or otherwise harmful to the reputation of JJ Winks.

• Use JJ Winks brand assets in a manner inconsistent with provided brand guidelines.

• Modify logos, trademarks, creative assets, or marketing materials without prior written consent.

6. Enforcement & Remedies

JJ Winks reserves the right, in its sole discretion, to determine whether Affiliate marketing practices violate this Section. Any violation may result in:

• Immediate suspension or termination from the Affiliate Program;

• Reversal or forfeiture of unpaid commissions; and/or

• Any other remedy available at law or in equity.

Suspension and Termination

JJ Winks reserves the right, in its sole discretion, to suspend an Affiliate’s participation in the Affiliate Program at any time, with or without notice, for investigation of suspected violations of these Terms or for any other business reason. During any period of suspension:

• Affiliate shall immediately cease promoting JJ Winks products;

• Affiliate shall not use any JJ Winks branding, promotional materials, referral links, or discount codes; and

• JJ Winks may withhold payment of commissions pending the outcome of its investigation.

  
  

Either party may terminate the Affiliate relationship at any time, with or without cause, upon written notice.

Upon termination:

• Affiliate must immediately cease all use of JJ Winks branding, trademarks, promotional materials, referral links, and discount codes;

• All rights granted to Affiliate under these Terms shall immediately terminate; and

• Any unpaid commissions may be forfeited if termination results from a violation of these Terms.

JJ Winks further reserves the right to modify, suspend, or discontinue the Affiliate Program, in whole or in part, at any time and without liability.

Limitation of Liability

JJ Winks will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data arising in connection with this Agreement or the Affiliate Program, even if we have been advised of the possibility of such damages. In no event shall JJ Winks’ total liability exceed the total commissions paid to Affiliate during the six (6) months preceding the claim.

Indemnification

Affiliate agrees to indemnify, defend, and hold harmless JJ Winks and its officers, directors, employees, agents, and representatives from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Affiliate’s participation in the Affiliate Program;

• Affiliate’s promotional activities or marketing practices;

• Affiliate’s breach of these Terms; or

• Affiliate’s violation of any applicable law, regulation, or third-party right.

JJ Winks reserves the right to assume exclusive defense and control of any matter otherwise subject to indemnification by Affiliate, in which case Affiliate agrees to cooperate fully in asserting any available defenses.

Governing Law & Venue

These Terms and any dispute arising out of or relating to the Affiliate Program shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Orange County, California, and the parties hereby consent to the personal jurisdiction and venue therein.

Amendment

JJ Winks reserves the right to update and change these Terms and Conditions from time to time without notice. Continued participation in the program after such changes shall constitute your consent to such changes.

Agreement

By participating in the JJ Winks Affiliate Marketing Program, you agree to abide by these Terms and Conditions. You understand that violation of any terms may result in the termination of your participation in the program and forfeiture of any accrued commissions.
